I have no choice but to accept performance as provided in your proposed modification of our sales agreement of [Date of agreement], which modification was contained in your letter of [Date of your letter]. My acceptance is, however, solely to minimize my losses from your refusal to perform under the terms of our sales agreement. I do not agree to the proposed modification. Moreover, I expressly reserve my rights under the terms of our sales agreement.
